I tell my corporate law students that it’s virtually legal malpractice for them to set up a closely held corporation, limited liability company, or partnership without including a buy-sell agreement in the organizing documents. Today’s mail brought a copy of Buy-Sell Agreements for Closely Held and Family Business Owners, written by business valuation specialist Christopher Mercer. It’s directed at business men and women, but a pretty detailed skim over lunch suggests that young associates faced with negotiating and drafting their first buy-sell agreements would find it very helpful. It’s clear and comprehensive.
